Terms of Service

These terms are the agreement between you and DEFDONE sp. z o.o., Floriana Stablewskiego 43/4, 60-213 Poznań, Poland (KRS 0000933095, NIP 7792532726, REGON 520521883), the company that operates Payaion (“we”). They apply when you use the website, the dashboard, the Aion HTTP API or our MCP servers. By using Payaion you accept them. If you do not accept them, do not use the service.

What Payaion does

Payaion stores a file on Walrus decentralized storage and gives you a link to it. The link can be free and short-lived, or priced so that a buyer pays in USDC on Base before the download unlocks. With an account you also get an API and MCP access so that software agents can do the same thing without a browser. Current size, storage and rate limits are published at /docs/limits and form part of these terms.

Who may use it

• You must be at least 16 to use the service, and at least 18 to pay for anything or sell on the marketplace.
• You must not be subject to EU, UK, US or UN sanctions, and must not use Payaion from a sanctioned jurisdiction.
• If you use Payaion for an organisation, you confirm you may bind it to these terms.

Your wallet, your keys, your agents

Payaion is non-custodial. We never hold your private keys and never take custody of your USDC — payments move directly between wallets and the payment contracts on Base. We cannot reverse a transaction, recover a lost wallet or refund gas.

API keys are shown once and stored only as hashes. Treat a key like a password. Anything done with your key — by you, your agent, or someone who obtained it — counts as done by you, and you are responsible for the resulting uploads, charges and storage use. Revoke a key in the dashboard the moment you suspect it leaked.

Your content

You keep all rights to what you upload. You grant us only the licence we need to run the service: to store the file on Walrus, transmit it, and serve it to the people you share it with or who buy it, for as long as your plan keeps it alive. We claim no ownership and will not publish your files anywhere you did not ask us to.

You are responsible for having the rights to every file you upload, price or sell.

Acceptable use

You must not use Payaion to store, share or sell:

• content that is illegal where you or your recipients are, including child sexual abuse material, which we report to the authorities without exception;
• malware, phishing kits, credential dumps or stolen data;
• material that infringes someone else's copyright, trademark, trade secret or privacy;
• other people's personal data that you have no right to share.

You also must not:

• work around plan limits, rate limits or payment checks — for example by splitting files across accounts, or by creating accounts to reuse free quotas;
• attack, overload, scrape or reverse-engineer the service, or probe it for vulnerabilities without asking us first;
• resell Payaion as your own storage backend without a written agreement.

Found a security bug? Email contact@payaion.com before disclosing it. We will not pursue researchers who report in good faith and do not damage or exfiltrate data.

Marketplace listing policy

When you list a file you must describe it honestly: what the buyer receives, in what format, and any limitation that matters. Listing junk, bait files, malware, stolen content or anything that misleads buyers is prohibited.

A sale on the marketplace is a contract between the buyer and the seller. Payaion provides the platform, the storage and the payment rails; we are not the seller and we do not warrant what a listing contains. We keep 10% of each sale as a platform fee, split on-chain at the moment of payment, and the rest goes straight to the seller's wallet.

A settled purchase entitles the buyer to download the file for 30 days, even if the seller's own plan retention is shorter. Sellers must not delete or move a file to defeat that window.

Anyone can report a listing. If a report or our own review indicates abuse, we may suspend the seller account and block storage access (uploads, downloads and marketplace tools) while we investigate, remove listings, and permanently ban the account where the abuse is clear. On-chain payments that already settled generally cannot be reversed: this policy exists to stop further harm, not to guarantee refunds.

Prices, payments and taxes

• Pro. $20 in USDC buys a fixed 30 days of Pro. There is no auto-renewal and no stored payment method — you pay again when you want another period.
• After Pro lapses. Your files stay available for a 14-day grace window so you can renew or export. After that they are removed and your account falls back to Basic limits.
• Marketplace. The buyer pays the listed price in USDC. The price shown at the moment of purchase is the price that applies.
• Network fees. Gas on Base is paid by whoever sends the transaction. We do not add it to the price and do not reimburse it.
• Finality. On-chain payments are final. Once a subscription period or a download has been delivered, the payment is non-refundable except where the law says otherwise.
• Taxes. Sellers are responsible for their own taxes on marketplace income. We do not issue invoices on a seller's behalf. Ask us at contact@payaion.com if you need an invoice for Pro.

USDC is a third-party stablecoin. We do not issue it and are not responsible for its value, its issuer, or a chain outage that delays your payment.

Consumers in the EU: right of withdrawal

If you are a consumer in the EU you normally have 14 days to withdraw from a distance contract for digital services. Payaion delivers immediately: Pro activates and downloads unlock as soon as your payment confirms. By paying you expressly ask us to start performing at once and acknowledge that you lose the right of withdrawal once we have fully performed. Nothing here limits your statutory rights if the service is faulty — if Pro does not work, tell us and we will fix it or refund it.

Availability

We aim to keep Payaion up but we offer no uptime guarantee and no SLA on these terms. We may change, limit or discontinue features, and we may change limits and prices. For changes that affect a plan you already paid for, the terms you paid under apply until that period ends. Downloads, storage and payments also depend on Walrus, Sui and Base, which are public networks we do not operate.

Suspension and termination

You can stop using Payaion at any time and delete your uploads. We may suspend or terminate access if you breach these terms, if a credible abuse report is pending, or if the law requires it. On termination for abuse, stored files may be removed and any remaining paid period is forfeit. If we terminate you without cause, we will refund the unused part of a paid Pro period.

Disclaimer and liability

The service is provided “as is”. We do not warrant that it will be uninterrupted, error-free, or that a file will remain retrievable beyond its retention window — keep your own copy of anything you care about. We are not liable for lost data on decentralized storage, for transactions you sign, for what your own agents do with your API key, or for anything a counterparty does on the marketplace.

To the extent the law allows, we are not liable for indirect, incidental or consequential damages, or for lost profits, revenue or data. Where we are liable, our total liability is capped at the greater of the amount you paid us in the 12 months before the claim, or EUR 100. Nothing in these terms excludes liability for intent, gross negligence, death or personal injury, or any liability that cannot be excluded under the law that protects you as a consumer.

You agree to cover our costs if a third party brings a claim against us because of content you uploaded, priced or sold.

Changes to these terms

We update the date at the top of this page when the terms change and will flag material changes in the product before they take effect. Continuing to use Payaion after that means you accept the new version.

Law and disputes

These terms are governed by the law of Poland, and disputes belong to the courts competent for our registered seat in Poznań. If you are a consumer, this does not deprive you of the protection of the mandatory law of your own country of residence, or of your right to sue there. Talk to us first — almost everything is faster to fix by email.
